Introduction
Welcome to TopedoX. These Terms and Conditions govern your use of the TopedoX platform, including the website, mobile applications, and all related services ("Platform"), owned and operated by Eyedentifyme Pty Ltd.
By accessing or using the Platform, you ("User", "Partner", or "Client") agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
Acceptance Of Terms
By creating an account, accessing, or using any part of the TopedoX Platform, you confirm that:
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy and all applicable policies.
- You are at least 18 years of age or have the legal capacity to enter into a binding agreement in your jurisdiction.
- If you are using the Platform on behalf of a business or organization, you have the authority to bind that entity to these Terms.
Definitions
- Platform: The TopedoX website, mobile applications, and all associated services.
- Partner: A verified service professional registered on TopedoX to offer services.
- Client: A user who books or engages services through the Platform.
- User: Any individual or entity accessing the Platform, including Partners and Clients.
- Services: Professional services listed, offered, or fulfilled via the TopedoX Platform.
- Content: Any text, images, reviews, profiles, listings, or other material submitted or generated on the Platform.
- TopedoX, we, us, our: Refers to Eyedentifyme Pty Ltd and its affiliates, officers, employees, and agents.
Eligibility
- You must be at least 18 years of age to register and use the Platform.
- You must provide accurate, complete, and up-to-date registration information.
- TopedoX reserves the right to refuse access or terminate accounts that do not meet eligibility requirements or violate these Terms.
- Partners must complete identity verification and meet all applicable legal and regulatory requirements for their region and service type.
Account Registration & Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify TopedoX immediately of any unauthorized use of your account.
- TopedoX is not liable for any loss or damage arising from your failure to safeguard your login details.
- Each user may maintain only one account unless expressly authorized otherwise by TopedoX.
- Accounts are non-transferable and may not be sold, shared, or assigned to another party.
Services Provided
Seed Platform
- TopedoX provides a marketplace for connecting Clients with verified service Professionals.
- Services include discovering, bookmarking, and booking service professionals.
- TopedoX facilitates transactions and communications but is not itself a party to service agreements between Clients and Partners.
Service Platform
- Partners can list, manage, and fulfill services, including scheduling and quoting.
- Clients can browse, compare, and hire verified professionals across a wide range of categories.
- TopedoX may introduce new features or modify existing services, subject to updates to these Terms. (See Modification Policy (See Section 18))
User Responsibilities
- You must use the Platform only for lawful, legitimate purposes.
- You must not misuse, abuse, or attempt to exploit the Platform or other users.
- You are solely responsible for all activity that occurs under your account.
- Users must treat all parties on the Platform with respect, professionalism, and courtesy.
- Impersonating any person, business, or entity is strictly prohibited.
Content & Intellectual Property
User Content
You retain ownership of content you submit. By uploading or posting content, you grant TopedoX a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content solely for operating and improving the Platform.
Prohibited Content
You may not upload or share content that is:
- False, misleading, or fraudulent.
- Defamatory, abusive, or harassing.
- In violation of any third-party intellectual property rights.
TopedoX Content
All trademarks, logos, platform design, software, and proprietary technology ("TopedoX Technology") are the exclusive property of Eyedentifyme Pty Ltd. Unauthorized use, reproduction, or distribution of TopedoX Technology is strictly prohibited.
Prohibited Content & Conduct
Users are strictly prohibited from engaging in the following:
- Posting false, misleading, or deceptive information about services or qualifications.
- Harassing, threatening, or intimidating other users or TopedoX staff.
- Circumventing the Platform to conduct transactions directly in order to avoid fees or obligations.
- Using automated bots, scrapers, or tools to extract data from the Platform without written consent.
- Uploading malicious code, viruses, or any software intended to disrupt Platform operations.
- Engaging in any activity that violates applicable laws or regulations.
Subscriptions, Payments & Fees
- Partner subscription plans, pricing, and billing cycles are detailed within the App and are subject to change with reasonable notice.
- All payments are processed securely through authorised third-party payment providers and applicable platform channels (e.g. Apple In-App Purchases).
Fees are charged in advance on a recurring basis (monthly or annually) and are non-refundable except as outlined in our Subscription Policy (See Section 11).
This app offers auto-renewable subscriptions. Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Manage subscriptions in Account Settings. To cancel, visit: support.apple.com/en-gb/118428. By using this app, you agree to the Apple Media Services Terms and Conditions.
Cancellation & Refunds
Cancellation and refund terms are governed by our Subscription Policy. Key points include:
- Partners may cancel subscriptions at any time via the App or by contacting support.
- Cancellations take effect at the end of the current billing cycle. No partial-month refunds are provided.
- Refund requests for billing errors must be submitted within 7 days of the charge date.
- TopedoX reserves the right to suspend or terminate accounts for policy violations without refund.
Partner Services & Obligations
- Partners must accurately represent their qualifications, certifications, and experience on their profiles.
- Partners are solely responsible for the quality, legality, and safety of the services they provide.
- Service Delivery: Partners must deliver services as agreed with Clients, including quality, timeliness, and after-care support.
- Partners must comply with all applicable laws, regulations, and industry standards in their jurisdiction.
- TopedoX reserves the right to suspend, demote, or remove Partner profiles for non-compliance, poor performance, or repeated negative reviews, at its sole discretion.
Payments & Transactions
- TopedoX facilitates payments between Clients and Partners through integrated payment systems, subject to third-party processing terms.
- Accurate Information: Partners must ensure bank and payment details are up-to-date and accurate at all times.
- Restricted Markets: Payments may be subject to processing restrictions depending on your region or applicable financial regulations.
- TopedoX is not liable for delays or failures caused by third-party payment processors outside its control.
- All transactions are final once a service has been completed, except in cases of verified billing error or dispute resolution.
Content And Intellectual Property
Partners retain ownership of their original content. By uploading content to the Platform, Partners grant TopedoX a non-exclusive, royalty-free licence to use such content for promotional, operational, and platform-improvement purposes.
Prohibited Content: Partners must not post content that infringes third-party IP rights, contains false claims, violates privacy, or is otherwise unlawful, offensive, or misleading.
Community Guidelines
TopedoX is committed to maintaining a safe, respectful, and professional environment. All users must:
- Communicate respectfully and professionally at all times.
- Refrain from posting harmful, discriminatory, or misleading content or reviews.
- Report suspected fraudulent activity, abuse, or policy violations to TopedoX support immediately.
- Not attempt to manipulate ratings, reviews, or search rankings through inauthentic means.
Disclaimer
Platform Role: TopedoX acts solely as an intermediary connecting Clients and Partners. We do not guarantee the quality, accuracy, safety, or legality of any services offered or delivered through the Platform.
The Platform is provided on an "as is" and "as available" basis. TopedoX makes no warranties, express or implied, regarding availability, reliability, or fitness for a particular purpose.
Limitation Of Liability
- To the maximum extent permitted by law, TopedoX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- TopedoX is not responsible for disputes between Clients and Partners, service failures, or losses arising from third-party actions.
- Payment & Transaction Liability: TopedoX is not liable for errors, losses, or delays caused by third-party payment processing platforms, banking institutions, or financial intermediaries.
- This limitation does not affect any statutory rights you may have under applicable consumer protection law.
Third-Party Integrations & Services
External Tools: TopedoX may integrate or link to third-party tools, platforms, or services (e.g. payment processors, mapping services, communication tools).
TopedoX does not endorse and is not responsible for the privacy practices, terms, or content of any third-party services. Use of third-party integrations is governed by the respective provider's terms and conditions.
Governing Law
These Terms are governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa, unless otherwise required by applicable law in your jurisdiction.
Dispute Resolution
In the event of any dispute between Users, or between a User and TopedoX, the following process applies:
- Negotiation: Both parties agree to first attempt to resolve the dispute informally through direct communication within 30 days.
- Mediation: If unresolved, disputes may be referred to a mutually agreed independent mediator prior to formal legal proceedings.
- Arbitration: For platform-related disputes involving TopedoX, binding arbitration may be initiated in accordance with applicable South African ADR rules.
Modifications To Terms & Services
TopedoX reserves the right to modify these Terms at any time. Where material changes are made, we will provide at least 14 days' notice via in-app notification or email. Continued use of the Platform after notice constitutes acceptance of the updated Terms.
We also reserve the right to introduce, discontinue, or modify any feature or service on the Platform at our discretion, with reasonable advance notice where possible.
Force Majeure
TopedoX shall not be held liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, power outages, pandemics, government actions, cyberattacks, or failure of third-party infrastructure. In such events, TopedoX will use reasonable efforts to resume normal operations as quickly as practicable.
Notices & Communication
All official communications from TopedoX will be sent via:
- Registered email address on your account.
- In-app notifications or push alerts.
- Official announcements on the Platform.

General Provisions
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary or severed, and the remaining Terms shall continue in full force and effect.
Failure by TopedoX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without prior written consent from TopedoX. TopedoX may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
These Terms, together with our Privacy Policy and Subscription Policy, constitute the entire agreement between you and TopedoX with respect to your use of the Platform.
Topedox Partner App

Introduction
These terms apply specifically to the TopedoX Partner App ("Partner App") authenticating through the TopedoX (Pty) Ltd platform. By downloading and using the Partner App, you agree to these Terms and our Privacy Policy and all applicable policies.
Eligibility
- You must be at least 18 years of age to register as a Partner.
- You must comply with all applicable laws and professional licensing requirements in your jurisdiction.
- TopedoX reserves the right to verify identity, qualifications, and professional standing at any time.
Account Registration & Security
- Partners must provide accurate personal and business information during registration.
- You are responsible for keeping your account credentials secure at all times.
- Notify TopedoX immediately of any unauthorized account access.
Partner Services & Obligations
- Partners must accurately represent all qualifications, certifications, and service capabilities in their profiles.
- Partners agree to deliver services with professionalism, competency, and adherence to agreed timelines.
- Service Delivery: Partners are accountable for the quality, safety, and completeness of all services delivered through the Platform.
Subscriptions, Payments & Fees
Partners subscribe to paid plans through the Partner App. Subscription fees are outlined in the App and are subject to change with prior notice. All fees are governed by our Subscription Policy.
Cancellation & Refunds
Partner cancellations are managed through the Partner App or via support, and are subject to the Subscription Policy.
Payments & Transactions
- TopedoX processes payments through applicable systems, subject to third-party processing terms and financial regulations.
- Accurate Information: Partners must maintain current and accurate payment and banking details at all times.
- Restricted Markets: Transactions may be restricted or limited based on the Partner's geographic region or local regulations.
Content And Intellectual Property
Partners retain ownership of original content. By submitting content, Partners grant TopedoX a non-exclusive, royalty-free licence for operational and marketing use.
Prohibited Content: Partners must not post false, misleading, defamatory, or rights-infringing content of any kind.
Community Guidelines
TopedoX maintains a respectful, professional marketplace. Partners must adhere to community standards at all times, including honest communication, quality service delivery, and prompt resolution of any client concerns.
Disclaimer
Platform Role: TopedoX facilitates connections but does not guarantee service outcomes, Partner availability, or Client satisfaction. The Platform is provided "as is" without warranty of any kind.
Limitation Of Liability
TopedoX's liability to Partners is limited to the maximum extent permitted by applicable law.
Payment & Transaction Liability: TopedoX is not responsible for payment processing errors, delays, or failures attributable to third-party financial service providers.
Third-Party Integrations & Services
External Tools: The Partner App may integrate third-party services. TopedoX does not control and is not responsible for the availability, accuracy, or terms of such third-party tools.
Governing Law
These Partner App Terms are governed by the laws of South Africa.
Arbitration Resolution: Disputes shall first be subject to good-faith negotiation, then mediation, and finally binding arbitration under South African law where applicable.
Binding Arbitration: By using the Partner App, you agree that unresolved disputes may be referred to binding arbitration in accordance with applicable South African ADR rules.
Dispute Resolution
- Informal Resolution: Disputes should first be raised with TopedoX support for informal resolution within 30 days.
- Mediation: If unresolved, disputes will be referred to a mutually agreed independent mediator.
- Arbitration: Binding arbitration will apply where mediation fails, in accordance with South African ADR rules.
Modifications To Terms
TopedoX reserves the right to update these Partner App Terms at any time. Partners will be notified via the App or registered email. Continued use of the App after the effective date constitutes acceptance of the revised terms.
Force Majeure
TopedoX is not liable for service interruptions or failures caused by events beyond its reasonable control, including natural disasters, cyber-attacks, power failures, governmental actions, or third-party platform outages.
Notices & Communication
All official communications will be sent via:
- Registered email address linked to your Partner account.
- In-app notifications and alerts.
- Official communications via the TopedoX Platform.

General Provisions
Use of the Partner App is subject to our full Privacy Policy, which is incorporated into these Terms by reference.
These Partner App Terms form part of the overarching TopedoX Terms of Service and should be read alongside them.
If any clause of these Terms is found invalid or unenforceable, it shall be severed, and the remaining provisions shall continue in full force and effect.
Partners may not assign or transfer their account or rights under these Terms. TopedoX may assign its rights and obligations in connection with a business restructure or acquisition.
